These terms govern your use of the Minster Desk service provided by Minster Desk Ltd ("Minster Desk", "we", "us"), a company registered in England & Wales (company no. [COMPANY NUMBER]), registered office [REGISTERED ADDRESS]. By signing up for or using the service, you ("you", "the customer") agree to these terms. They're written for trade businesses using the service, not for members of the public who are texted back by it.
1. What the service does
Minster Desk provides an automated "missed-call text-back" service: when a call to your business goes unanswered, we send the caller a text message, hold a short automated conversation to capture what they need, and deliver that lead to you. Optional features (such as calendar booking, review requests, or additional capture channels) depend on your plan.
2. Best-effort service, not a guarantee
We work hard to make the service fast and reliable, but it depends on third-party networks (mobile carriers, messaging, and AI providers) that we don't control. The service is provided on a best-effort basis. We do not guarantee that every call will be detected, that every text will be delivered, that a caller will reply, or that any lead will convert into work. A missed or lost lead is not something we are liable for. You remain responsible for your own customer relationships and for following up on the leads we deliver.
3. Fees, the free period, and cancellation
- Free until your first qualified lead. Where we offer it, you pay nothing until the service delivers your first qualified lead. A "qualified lead" means a genuine prospective customer who has engaged with the automated text conversation and whose enquiry — including contact details and a description of the job required — has been captured and delivered to you. Automated spam, silent or wrong-number calls, messages you or we send to test the service, and duplicate contacts do not count. Billing begins from the start of the billing cycle following delivery of your first qualified lead.
- 60-day review. If 60 days pass from activation without a qualified lead, we will contact you to review your setup before any charge is raised. You may continue, adjust your setup, or cancel — owing nothing. We will not begin billing a no-lead account without speaking to you first.
- Plans and price. Your plan and monthly fee are those shown when you sign up (for example, Solo, Pro, or a founding-member rate). Any promotional rate (such as a locked founding price) applies for the period stated.
- Billing in advance. Once you're paying, fees are charged monthly in advance by the method you set up. [State your billing method — e.g. Direct Debit via GoCardless / card via Stripe.]
- No contract. The service is month-to-month. You can cancel at any time, effective at the end of your current paid period; we don't provide pro-rata refunds for part-months unless the law requires it.

4. Your responsibilities
- Give us accurate setup details (your number, trade, service area, and how leads should reach you), and keep them up to date.
- Use the service lawfully and only for your own legitimate business. Don't use it to send unlawful, misleading, or abusive messages, or in a way that breaches carrier rules or the law.
- Make sure you're entitled to handle your customers' data and, where relevant, that your own privacy notices cover the use of a messaging assistant on your behalf.
- Keep your account access secure.
5. Data protection
When we run the service, we act as a data processor handling your customers' personal data on your instructions; you are the controller. This is governed by our Data Processing Agreement ("DPA"), which forms part of these terms. How we handle personal data generally is described in our Privacy Policy. [Attach or link your DPA here.]
6. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law (for example, for death or personal injury caused by negligence, or for fraud). Subject to that, and given the best-effort nature of the service:
- We are not liable for indirect or consequential losses, or for lost profits, lost business, lost leads, or lost goodwill.
- Our total liability to you for any claim in any 12-month period is limited to the fees you paid us for the service in that period.
7. Acceptable use and suspension
We may suspend or end the service if you breach these terms, if required to protect the service or comply with the law or a provider's rules, or if usage suggests abuse. Where practical, we'll tell you first.
8. Changes
We may update the service and these terms from time to time. If we make a material change, we'll give you reasonable notice (for example, by email or on the site). Continuing to use the service after a change means you accept the updated terms.
9. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute.
